ESTE ACUERDO (ACUERDO) ES UN ACUERDO LEGAL ENTRE USTED (CLIENTE) Y AUDIENSE LTD, Kemp House, 152 - 160 City Road, London EC1V 2NX (PROVEEDOR) PARA EL USO DEL SOFTWARE 'AUDIENSE' COMO PRODUCTO DE SERVICIO (AUDIENSE). AL HACER CLIC EN EL BOTÓN "ACEPTAR" QUE APARECE A CONTINUACIÓN, USTED ACEPTA LOS TÉRMINOS DE ESTE ACUERDO QUE LE VINCULARÁN A USTED Y A SUS EMPLEADOS. The definitions and rules of interpretation in this clause apply in this agreement.
1.1 “Agreement” means the terms and conditions, the Service Level Agreement, and any Order Form.
1.2 “Order Form” means an ordering document or online order specifying the Services that we agree to provide to you and any Third Party Services (as applicable).
1.3 “Business Day”: any day which is not a Saturday, Sunday or public holiday in the UK.
1.4 “Change of Control”: the direct or indirect acquisition of either the majority of the voting stock, or of all, or substantially all, of the assets, of a party by another entity in a single transaction or a series of transactions.
1.5 “Confidential Information”: information that is proprietary or confidential and is either clearly labelled as such or identified as Confidential Information in clause 11.1.
1.6 “Customer Data”: the data inputted by the Customer or the Supplier on the Customer’s behalf for the purpose of using the Services or facilitating the Customer’s use of the Services.
1.7 “Exported Data” means any Audiense Data that is exported or downloaded or recorded in any way from our systems.
1.8 “Documentation”: the document made available to the Customer by the Supplier online via audiense.com or such other web address notified by the Supplier to the Customer from time to time which sets out a description of the Services and the user instructions for the Services.
1.9 “Effective Date”: the date of this agreement.
1.10 “Initial Subscription Term”: period designated as such on the Order Form or, in the absence of any, the original and subsequent invoices unless terminated earlier in accordance with this Agreement.
1.11 “Subscription Term” Initial Subscription Term together with any subsequent Renewal Periods.
1.12 “Normal Business Hours”: 9.00 am to 6.00 pm local UK time, each Business Day.
1.13 “Renewal Period”: the period described in clause 14.1.
1.14 “Services”: either: (a) the paid for subscription services provided by the Supplier to the Customer under the name “Audiense Paid Version” via audiense.com or any other website notified to the Customer by the Supplier from time to time; (b) the free services provided by the Supplier to the Customer under the name “Audiense Free Version” via audiense.com; as the context requires, in each case as further described in the relevant Documentation; or (c) Professional Services understood as training, implementations or other Professional Services. Most Services involve providing technology that empowers our customers to enrich 3rd party data in real time and act with more certainty in a way that is easy-to-access and use. In turn, this allows our customers to learn more about their brand, their customers, their competitors, and other information available on the social web that is relevant to our Customers.
1.15 “You”: Customer, User or Free User
1.16 “User”or “End User”: any person that you (or your agency clients) have authorised to use the Service.
1.17 “Customer”: any person that has agreed to pay a Subscription or other kind of Fee to the Supplier for the use of Audiense Paid Version Services or Professional Services.
1.18 “Free User”: any person that has signed up to Audiense Free Version Services.
1.19 “Software”: the online software applications provided by the Supplier as part of the Audiense Paid and Free Version Services.
1.20 “Subscription Fees”: the subscription fees payable by the Customer to the Supplier for the Audiense Paid Version Services, as amended by the Supplier from time to time. For the avoidance of doubt, no fees are payable by the Customer for the Audiense Free Version Services
1.21 “Subscription Term”: has the meaning given in clause 14.1.
1.22 “Virus”: any thing or device (including any software, code, file or programme) which may: prevent, impair or otherwise adversely affect the operation of any computer software, hardware or network, any telecommunications service, equipment or network or any other service or device; prevent, impair or otherwise adversely affect access to or the operation of any programme or data, including the reliability of any programme or data (whether by re-arranging, altering or erasing the programme or data in whole or part or otherwise); or adversely affect the user experience, including worms, trojan horses, viruses and other similar things or devices.
1.23 Clause, schedule and paragraph headings shall not affect the interpretation of this agreement.
1.24 “Person” includes an individual, corporate or unincorporated body (whether or not having separate legal personality).
1.25 A reference to a company shall include any company, corporation or other body corporate, wherever and however incorporated or established.
1.26 Words in the singular shall include the plural and vice versa.
1.27 A reference to one gender shall include a reference to the other genders.
1.28 A reference to a statute or statutory provision is a reference to it as it is in force for the time being, taking account of any amendment, extension, or re-enactment and includes any subordinate legislation for the time being in force made under it.
1.29 A reference to writing or written includes faxes and/or e-mail.
1.30 References to clauses and schedules are to the clauses and schedules of this agreement; references to paragraphs are to paragraphs of the relevant schedule to this agreement.
2.1 El Proveedor prestará los Servicios y pondrá a disposición del Cliente la Documentación pertinente de conformidad con los términos de este contrato.
2.2 El Proveedor hará todo lo comercialmente razonable para que los Servicios estén disponibles 24 horas al día, siete días a la semana, excepto en los siguientes casos:
2.2.1 mantenimiento no programado realizado fuera del Horario Laboral Normal, siempre que el Proveedor haya hecho todo lo razonablemente posible para avisar al Cliente con al menos 6 Horas Laborables Normales de antelación.
3.1 Audiense Paid Version: Subject to the Customer paying the Subscription Fees in accordance with clause 8.1, the restrictions set out in this clause 3 and the other terms and conditions of this agreement, the Supplier hereby grants to the Customer a non-exclusive, non-transferable right to permit the Customer and its employees to use the Audiense Paid Version Services and the relevant Documentation during the Subscription Term, solely for the Customer’s internal business operations.
3.2 Audiense Free Version: Subject to the restrictions set out in this clause 2 and the other terms and conditions of this agreement, the Supplier hereby grants to the Customer a non-exclusive, non-transferable right to permit the Free User and its employees to use the Audiense Free Version Services and the relevant Documentation for so long as the Audiense Free Version are offered by the Supplier, solely for the Customer’s internal business operations.
3.3 The Customer undertakes that the Customer shall keep a secure password for the use of the Services, that such password shall be changed no less frequently than monthly and that the Customer shall keep his password confidential;
3.4 The Customer shall not access, store, distribute or transmit any Viruses, or any material during the course of its use of the Services that:
3.4.1 is unlawful, harmful, threatening, defamatory, obscene, infringing, harassing or racially or ethnically offensive;
3.4.2 facilitates illegal activity;
3.4.3 depicts sexually explicit images;
3.4.4 promotes unlawful violence;
3.4.5 is discriminatory based on race, gender, colour, religious belief, sexual orientation, disability, or any other illegal activity; or
3.4.6 causes damage or injury to any person or property;
3.4.7 and the Supplier reserves the right, without liability to the Customer, to disable the Customer’s access to any material that breaches the provisions of this clause.
3.5 The Customer shall not:
3.5.1 except as may be allowed by any applicable law which is incapable of exclusion by agreement between the parties:
3.5.2 and except to the extent expressly permitted under this agreement, attempt to copy, modify, duplicate, create derivative works from, frame, mirror, republish, download, display, transmit, or distribute all or any portion of the Software and/or Documentation (as applicable) in any form or media or by any means; or
3.5.3 attempt to reverse compile, disassemble, reverse engineer or otherwise reduce to human-perceivable form all or any part of the Software; or
3.5.4 access all or any part of the Services and Documentation in order to build a product or service which competes with the Services and/or the Documentation; or
3.5.5 use the Services and/or Documentation to provide services to third parties; or
3.5.6 subject to clause 19.1, license, sell, rent, lease, transfer, assign, distribute, display, disclose, or otherwise commercially exploit, or otherwise make the Services and/or Documentation available to any third party, or
3.5.7 attempt to obtain, or assist third parties in obtaining, access to the Services and/or Documentation, other than as provided under this clause 2; and
3.6 The Customer shall use all reasonable endeavours to prevent any unauthorised access to, or use of, the Services and/or the Documentation and, in the event of any such unauthorised access or use, promptly notify the Supplier.
3.7 The rights provided under this clause 2 are granted to the Customer and its employees only, and shall not be considered granted to any subsidiary or holding company of the Customer.
3.8 You will not: (a) knowingly display, distribute, or otherwise make available Audiense Data to any person or entity that you reasonably believe will use Audiense Data in any manner that would have the potential to be inconsistent with that individual’s reasonable expectations of privacy; (b) conduct any research or analysis that isolates a small group of individuals or any single individual for unlawful or discriminatory purposes; (c) use Audiense Data to target, segment, or profile any individual based on health, negative financial status or condition, political affiliation or beliefs, racial or ethnic origin, religious or philosophical affiliation or beliefs, sex life or sexual orientation, trade union membership, data relating to any alleged or actual commission of a crime, or any other sensitive categories of personal information prohibited by law.
3.9 You: (a) are responsible for your use of the Services and for your Users’ compliance with the online user guides, help and training materials, and your Users’ compliance with this Agreement (as if they were you); (b) will ensure that your use of Exported Data complies with Applicable Law; (c) will comply with the Twitter Terms of Service (including Twitter Advertising Terms, and developer terms and policies), usually at http://twitter.com/tos, https://legal.twitter.com/ads-terms.html and https://dev.twitter.com/overview/terms/agreement; the Instagram Terms of Service and Platform policy, usually at https://help.instagram.com/581066165581870 and https://instagram.com/about/legal/terms/api/ and the Facebook terms of service and platform policy https://www.facebook.com/legal/terms/update and https://developers.facebook.com/policy/ (d) will comply with the marketing materials we may provide to you related to your use and description of both our Services and our intellectual property rights.
3.10 Removal of Audiense Data: A licensor or Applicable Law may require us to remove Audiense Data from our Services. In such cases, we will notify you of the impacted data and you will promptly remove the same Exported Data from your systems, whether during or after the Term.
3.11 The Customer shall:
3.11.1 provide the Supplier with:
3.11.1.1 all necessary co-operation in relation to this agreement; and
3.11.1.2 all necessary access to such information as may be required by the Supplier;
in order to render the Services, including but not limited to Customer Data, security access information and configuration services;
3.11.3 comply with all applicable laws and regulations with respect to its activities under this agreement;
3.11.4 carry out all other Customer responsibilities set out in this agreement in a timely and efficient manner. In the event of any delays in the Customer’s provision of such assistance as agreed by the parties, the Supplier may adjust any agreed timetable or delivery schedule as reasonably necessary;
3.11.5 ensure that the use of the Services and the Documentation is in accordance with the terms and conditions of this agreement and shall be responsible for any breach of this agreement by such persons as authorised by the Customer to use the Services and the Documentation;
3.11.6 obtain and shall maintain all necessary licences, consents, and permissions necessary for the Supplier, its contractors and agents to perform their obligations under this agreement, including without limitation the Services;
3.11.7 ensure that its network and systems comply with the relevant specifications provided by the Supplier from time to time; and
3.11.8 be solely responsible for procuring and maintaining its network connections and telecommunications links from its systems to the Supplier’s data centres, and all problems, conditions, delays, delivery failures and all other loss or damage arising from or relating to the Customer’s network connections or telecommunications links or caused by the internet.
4.1 El Cliente será propietario de todos los derechos, títulos e intereses sobre todos los Datos del Cliente y será el único responsable de la legalidad, fiabilidad, integridad, exactitud y calidad de los Datos del Cliente.
4.2 El Proveedor, al prestar los Servicios, cumplirá con su Política de Privacidad relativa a la privacidad
y seguridad de los Datos del Cliente disponible en audiense.com o en cualquier otra dirección web que pueda ser notificada al Cliente de vez en cuando, ya que dicho documento puede ser modificado de vez en cuando por el Proveedor a su entera discreción.
4.3 Si el Proveedor procesa cualquier dato personal en nombre del Cliente al cumplir sus obligaciones en virtud de este acuerdo, las partes dejan constancia de su intención de que el Cliente sea el controlador de datos y el Proveedor sea un procesador de datos y, en cualquier caso:
4.3.1 the Customer acknowledges and agrees that the personal data may be transferred or stored outside the EEA or the country where the Customer is located in order to carry out the Services and the Supplier’s other obligations under this agreement;
4.3.2 the Customer shall ensure that the Customer is entitled to transfer the relevant personal data to the Supplier so that the Supplier may lawfully use, process and transfer the personal data in accordance with this agreement on the Customer’s behalf;
4.3.3 el Cliente se asegurará de que los terceros pertinentes hayan sido informados de dicho uso, procesamiento y transferencia, y hayan dado su consentimiento a los mismos, tal y como exige toda la legislación aplicable en materia de protección de datos;
4.3.4 el Proveedor procesará los datos personales únicamente de conformidad con los términos del presente acuerdo y con cualesquiera instrucciones legales que el Cliente le haya dado razonablemente en cada momento; y
4.3.5 cada una de las partes tomará las medidas técnicas y organizativas adecuadas contra el procesamiento no autorizado o ilegal de los datos personales o contra su pérdida, destrucción o daño accidentales.
5.1 El Cliente reconoce que los Servicios pueden permitirle o ayudarle a acceder al contenido de sitios web de terceros, a mantener correspondencia con ellos y a adquirir productos y servicios de terceros a través de sitios web de terceros, y que lo hace exclusivamente por su cuenta y riesgo. El Proveedor no asume ninguna responsabilidad ni compromiso en relación con el contenido, el uso o la correspondencia con los sitios web de terceros, ni con las transacciones realizadas o los contratos celebrados por el Cliente con dichos terceros. Cualquier contrato celebrado y cualquier transacción completada a través de cualquier sitio web de terceros es entre el Cliente y el tercero en cuestión, y no el Proveedor. El Proveedor recomienda que el Cliente consulte los términos y condiciones y la política de privacidad del sitio web del tercero antes de utilizar el sitio web del tercero en cuestión. El Proveedor no respalda ni aprueba ningún sitio web de terceros ni el contenido de ningún sitio web de terceros disponible a través de los Servicios.
5.2 Acuerdo de usuario final de FullContact. Si los Datos de FullContact son puestos a disposición por Audiense a Usuarios Finales externos a través de una Aplicación Cliente, la Aplicación Cliente será licenciada o puesta a disposición de dichos Usuarios Finales en este Acuerdo entre Audiense y el Usuario Final que incluye los siguientes términos (el "Acuerdo de Usuario Final de FullContact"):
5.2.1 El Usuario final se compromete a no utilizar ningún Dato de FullContact (ya sea solo o en combinación con cualquier otro dato) de ninguna manera que viole la Política de aplicación de FullContact, o cualquiera de las restricciones establecidas en el Formulario de pedido aplicable;
5.2.2 El Usuario final se compromete a proporcionar controles de seguridad físicos y lógicos comercialmente razonables para evitar violaciones de seguridad o acceso no autorizado a los Datos de FullContact que el Usuario final está autorizado a descargar de la Aplicación cliente;
5.2.3 Salvo que se establezca lo contrario en un Formulario de Pedido, todos los derechos sobre los Datos de FullContact se limitan al uso dentro de la Aplicación Audiense;
5.2.4 Todos los derechos sobre los Datos de FullContact terminan automáticamente al finalizar el Plazo de Suscripción aplicable o al finalizar antes el Formulario de Pedido aplicable o este Acuerdo;
5.2.5 El Usuario final acepta eliminar todos los Datos de FullContact a la terminación de la licencia, salvo cualquier Salida de datos que se haya derivado de los Datos de FullContact de conformidad con los términos de este Acuerdo antes de la fecha de terminación o vencimiento; y
5.2.6 Si la Información enviada es proporcionada a FullContact por Audiense, el Usuario final otorga a Audiense todos los derechos (incluidos consentimientos y licencias) de cualquier Información enviada que el Usuario final proporcione a Audiense que sean necesarios para que Audiense otorgue a FullContact la licencia para usar su Información enviada.
5.3 Acuerdo con el Usuario Final de Fifty.io. Si el Usuario Final solicita la integración con Fifty.io a través de la Aplicación Cliente, acepta que automáticamente Fifty.io se convierta en un subprocesador de Audiense.
6.1 El Proveedor se compromete a que los Servicios serán prestados sustancialmente de conformidad con la Documentación y con habilidad y cuidado razonables.
6.2 El compromiso de la cláusula 6.1 no aplicará en la medida de cualquier inconformidad que sea causada por el uso de los Servicios contrario a las instrucciones del Proveedor, o modificación o alteración de los Servicios por cualquier parte distinta al Proveedor o sus contratistas o agentes debidamente autorizados. Si los Servicios no se ajustan al compromiso anterior, el Proveedor, a sus expensas, hará todos los esfuerzos comerciales razonables para corregir dicha disconformidad con prontitud, o proporcionará al Cliente un medio alternativo para lograr el rendimiento deseado. Dicha corrección o sustitución constituye el único y exclusivo recurso del Cliente ante cualquier incumplimiento del compromiso establecido en la cláusula 6.1. No obstante lo anterior, el Proveedor:
6.2.1 no garantiza que el uso de los Servicios por parte del Cliente sea ininterrumpido o esté libre de errores; ni que los Servicios, la Documentación y/o la información obtenida por el Cliente a través de los Servicios satisfagan los requisitos del Cliente;
6.2.2 no se hace responsable de ningún retraso, fallo en la entrega o cualquier otra pérdida o daño resultante de la transferencia de datos a través de redes e instalaciones de comunicaciones, incluido Internet, y el Cliente reconoce que los Servicios y la Documentación pueden estar sujetos a limitaciones, retrasos y otros problemas inherentes al uso de dichas instalaciones de comunicaciones; y
6.3.2.3 no se hace responsable de ningún retraso, pérdida de datos o cualquier otra pérdida causada por la incapacidad de cualquiera de las partes de conectarse a Twitter, incluida, entre otras, la suspensión o el cierre permanente o temporal de Twitter, el uso restringido o suspendido de Twitter por parte de cualquiera de las partes o un fallo del sistema o del sitio de Twitter.
6.3 El presente acuerdo no impedirá que el Proveedor celebre acuerdos similares con terceros, o que desarrolle, utilice, venda o conceda licencias de forma independiente para documentación, productos y/o servicios similares a los proporcionados en virtud del presente acuerdo.
6.4 El Proveedor garantiza que tiene y mantendrá todas las licencias, consentimientos y permisos necesarios para el cumplimiento de sus obligaciones en virtud del presente acuerdo.
6.5 El Proveedor se reserva el derecho a realizar cambios, actualizaciones o mejoras en los Servicios en cualquier momento y sin previo aviso, incluyendo la adición o eliminación de funciones y/o la suspensión o terminación de los Servicios.
6.6 El Proveedor tendrá derecho a tomar las medidas técnicas que sean necesarias para garantizar que el uso de los Servicios por parte del Cliente no exceda ningún Límite de Datos aplicable. Cualquier uso de los Servicios por parte del Cliente que supere cualquier Límite de Datos aplicable estará sujeto a que el Proveedor y el Cliente acuerden condiciones adicionales que podrán incluir el pago de tasas a cambio de un aumento del Límite de Datos aplicable.
7.1 El Cliente abonará las Cuotas de Suscripción al Proveedor.
7.2 En la Fecha de Entrada en Vigor, el Cliente facilitará al Proveedor datos válidos, actualizados y completos de su tarjeta de crédito o de débito directo y cualesquiera otros datos de contacto y facturación pertinentes válidos, actualizados y completos y, si el Cliente facilita sus datos de tarjeta de crédito o de débito directo al Proveedor, el Cliente autoriza al Proveedor a facturar a dicha tarjeta de crédito:
7.2.1 en la Fecha Efectiva por las Cuotas de Suscripción pagaderas con respecto al Periodo de Suscripción Inicial; y
7.2.2 sujeto a la cláusula 14.1, en cada aniversario de la Fecha Efectiva por las Cuotas de Suscripción pagaderas con respecto al siguiente Periodo de Renovación.
7.3 Si el Proveedor no ha recibido el pago dentro de los 14 días siguientes a la fecha de vencimiento, y sin
perjuicio de cualesquiera otros derechos y recursos del Proveedor:
7.3.1 el Proveedor podrá, sin responsabilidad para con el Cliente, desactivar la contraseña, la cuenta y el acceso del Cliente a todos o parte de los Servicios y el Proveedor no estará obligado a prestar alguno o todos los Servicios mientras la(s) factura(s) en cuestión permanezca(n) impagada(s); y
7.3.1 el Proveedor podrá, sin responsabilidad para con el Cliente, desactivar la contraseña, la cuenta y el acceso del Cliente a todos o parte de los Servicios y el Proveedor no estará obligado a prestar alguno o todos los Servicios mientras la(s) factura(s) en cuestión permanezca(n) impagada(s); y 7.3.2 se devengarán intereses sobre dichos importes vencidos a un tipo anual igual al 3% sobre el tipo básico de préstamo del Banco de Inglaterra vigente en ese momento en la fecha de emisión de la factura correspondiente, a partir de la fecha de vencimiento y hasta su completo pago, ya sea antes o después de la sentencia.
7.4 Todos los importes y honorarios indicados o mencionados en el presente contrato:
7.4.1 serán pagaderos en la moneda acordada entre las partes y establecida en la factura del Proveedor;
7.4.2 son, con sujeción a la cláusula 13.4.2, no cancelables y no reembolsables;
7.4.3 no incluyen el impuesto sobre el valor añadido, que se añadirá a la(s) factura(s) del Proveedor al tipo correspondiente.
8.1 El Proveedor puede variar los términos y condiciones de este acuerdo de vez en cuando a su entera discreción. Cualquiera de dichas revisiones entrará en vigor en la fecha 7 días a partir de la fecha en que los términos y condiciones modificados se publiquen en el sitio web de Audiense en audiense.com/tos
8.2 Al continuar utilizando el Servicio después de cualquier revisión de los términos y condiciones de este acuerdo, se considerará que el Cliente ha aceptado dichas revisiones.
8.3 Si el Cliente no está dispuesto a aceptar dichos términos y condiciones revisados, el único recurso del Cliente será rescindir este contrato mediante notificación al Proveedor, tras lo cual el Proveedor reembolsará al Cliente una suma prorrateada igual a la parte no vencida de cualquier Cuota de Suscripción pagada por el Cliente antes de dicha rescisión.
8.4 Es una condición de este contrato que el Cliente visite regularmente el sitio web de Audiense en
audiense.com/tos para revisar cualquier revisión de los términos y condiciones de este contrato.
9.1 El Cliente reconoce y acepta que el Proveedor y/o sus licenciantes poseen todos los derechos de propiedad intelectual sobre los Servicios y la Documentación. Salvo que se indique expresamente lo contrario, el presente contrato no otorga al Cliente ningún derecho sobre patentes, derechos de autor, derechos sobre bases de datos, secretos comerciales, nombres comerciales, marcas comerciales (registradas o no), ni ningún otro derecho o licencia con respecto a los Servicios o la Documentación.
9.2 El Proveedor confirma que tiene todos los derechos en relación con los Servicios y la Documentación que son necesarios para otorgar todos los derechos que pretende otorgar en virtud de, y de conformidad con, los términos de este contrato.
9.3 El Proveedor no garantiza que los Datos del Cliente no sufran daños, indisponibilidad, corrupción o pérdida. En la máxima medida permitida por la ley, el Proveedor excluye toda responsabilidad por cualquier pérdida derivada de daños, indisponibilidad, corrupción o pérdida de los Datos del Cliente.
9.4. Entrega. Entregables: Tras el pago por su parte de los honorarios correspondientes a cualquier entregable de los Servicios Profesionales (especificados como tales en una Orden de Pedido), usted conservará todos los derechos de propiedad de las obras, productos de trabajo u otros materiales sujetos a derechos de autor que hayamos creado para usted como parte de dichos Servicios Profesionales; siempre y cuando, si el entregable contiene Datos de Audiencia, los Datos de Audiencia incluidos en el entregable le sean concedidos en virtud de una licencia mundial, no exclusiva, intransferible y libre de derechos de autor para utilizar el entregable de conformidad con el presente Contrato.
9.5. Licencia de datos exportados: Le concedemos una licencia mundial, no exclusiva, intransferible y exenta de derechos de autor para utilizar los Datos exportados de conformidad con el presente Acuerdo.
9.6. Licencia de uso de sus comentarios. Licencia para utilizar sus comentarios: Usted nos concede, y se compromete a procurar que sus Usuarios nos concedan, una licencia mundial, perpetua, irrevocable y libre de derechos de autor para utilizar e incorporar a los Servicios cualquier sugerencia, solicitud de mejora, recomendación, corrección u otros comentarios proporcionados por usted o sus Usuarios que surjan de su uso de los Servicios.
10.1 Cada parte podrá tener acceso a la Información Confidencial de la otra parte con el fin de cumplir con sus obligaciones en virtud del presente acuerdo. No se considerará Información Confidencial de una de las partes aquella que:
10.1.1 sea o pase a ser de dominio público por causas ajenas a cualquier acción u omisión de la parte receptora;
10.1.2 estuviera en posesión legítima de la otra parte antes de la divulgación;
10.1.10.1.3 haya sido divulgada legalmente a la parte receptora por un tercero sin restricción alguna para su divulgación;
10.1.4 haya sido desarrollada independientemente por la parte receptora, y su desarrollo independiente pueda demostrarse mediante prueba escrita; o
10.1.5 deba divulgarse por imperativo legal, por un tribunal de jurisdicción competente o por un organismo regulador o administrativo.
10.2 Cada una de las partes mantendrá la confidencialidad de la Información Confidencial de la otra y, a menos que así lo exija la ley, no pondrá la Información Confidencial de la otra a disposición de terceros, ni utilizará la Información Confidencial de la otra para ningún fin que no sea la aplicación del presente acuerdo.
10.3 Cada una de las partes tomará todas las medidas razonables para garantizar que la Información Confidencial de la otra a la que tenga acceso no sea divulgada o distribuida por sus empleados o agentes en violación de los términos de este acuerdo.
10.4 Ninguna de las partes será responsable de la pérdida, destrucción, alteración o divulgación de Información Confidencial causada por terceros.
10.5 El Cliente reconoce que los detalles de los Servicios, y los resultados de cualquier prueba de rendimiento de los Servicios, constituyen Información Confidencial del Proveedor.
10.6 El Proveedor reconoce que los Datos del Cliente constituyen la Información Confidencial del Cliente.
10.7 Esta cláusula 11 sobrevivirá a la terminación de este contrato, cualquiera que sea su origen.
10.8 El Cliente consiente el uso por parte de Audiense del nombre y marca del cliente, en los materiales de marketing de Audiense y/o en el sitio web de Audiense, junto con una descripción del Producto y los servicios prestados por Audiense en virtud de este Contrato. Salvo lo anterior, ninguna de las partes divulgará datos de uso o resultados de rendimiento relacionados con el producto Audiense a terceros sin el consentimiento previo por escrito de la otra parte.
11.1 El Cliente defenderá, indemnizará y mantendrá indemne al Proveedor frente a reclamaciones, acciones, procedimientos, pérdidas, daños, gastos y costes (incluyendo, sin limitación, las costas judiciales y los honorarios razonables de abogados) que se deriven o estén relacionados con el uso por parte del Cliente de los Servicios y/o la Documentación, siempre que:
11.1.1 se notifique al Cliente con prontitud cualquier reclamación1.1 se notifique sin demora al Cliente dicha reclamación;
11.1.2 el Proveedor coopere razonablemente con el Cliente en la defensa y resolución de dicha reclamación, a costa del Cliente; y
11.1.3 se otorgue al Cliente autoridad exclusiva para defender o resolver la reclamación.
11.2 El Proveedor, sin perjuicio de lo dispuesto en la cláusula 12.5, defenderá al Cliente, a sus directivos, administradores y empleados frente a cualquier reclamación en la que se alegue que los Servicios o la Documentación infringen cualquier patente del Reino Unido en vigor a partir de la Fecha de entrada en vigor, derechos de autor, marca comercial, derecho de base de datos o derecho de confidencialidad, e indemnizará al Cliente por cualquier cantidad concedida en contra del Cliente en juicio o transacción de dichas reclamaciones, siempre que:
11.1.1 el Proveedor reciba con prontitud del Cliente la autorización para defender o resolver dicha reclamación; y2.1 se notifique sin demora al Proveedor dicha reclamación;
11.2.2 el Cliente coopere razonablemente con el Proveedor en la defensa y resolución de dicha reclamación, a costa del Proveedor; y
11.2.3 el Proveedor tenga autoridad exclusiva para defender o resolver la reclamación.
11.3 En la defensa o solución de cualquier reclamación, el Proveedor podrá procurar el derecho del Cliente a seguir utilizando los Servicios, sustituir o modificar los Servicios para que no infrinjan las normas o, si tales soluciones no están razonablemente disponibles, rescindir el presente contrato con un preaviso de 5 Días laborables al Cliente sin ninguna responsabilidad adicional ni obligación de pagar daños liquidados u otros costes adicionales al Cliente.
11.4 En ningún caso el Proveedor, sus empleados, agentes y subcontratistas serán responsables ante el Cliente
en la medida en que la supuesta infracción se base en:
11.4.1 una modificación de los Servicios o la Documentación por parte de cualquier persona que no sea el Proveedor; o
11.4.2 el uso por parte del Cliente de los Servicios o la Documentación de forma contraria a las instrucciones dadas al Cliente por el Proveedor; o
11.4.3 el uso por parte del Cliente de los Servicios o la Documentación tras la notificación de la infracción supuesta o real por parte del Proveedor o de cualquier autoridad competente.
11.5 LO ANTERIOR ESTABLECE LOS DERECHOS Y RECURSOS ÚNICOS Y EXCLUSIVOS DEL CLIENTE, Y LAS OBLIGACIONES Y RESPONSABILIDAD TOTALES DEL PROVEEDOR (INCLUIDOS LOS EMPLEADOS, AGENTES Y SUBCONTRATISTAS DEL PROVEEDOR), POR LA INFRACCIÓN DE CUALQUIER PATENTE, DERECHO DE AUTOR, MARCA COMERCIAL, DERECHO DE BASE DE DATOS O DERECHO DE CONFIDENCIALIDAD.
12.1 CON SUJECIÓN A LAS DISPOSICIONES DE LA CLÁUSULA 12.5, ESTA CLÁUSULA 13 ESTABLECE LA RESPONSABILIDAD FINANCIERA TOTAL DEL PROVEEDOR (INCLUIDA CUALQUIER RESPONSABILIDAD POR LOS ACTOS U OMISIONES DE SUS EMPLEADOS, AGENTES Y SUBCONTRATISTAS) ANTE EL CLIENTE CON RESPECTO A:
12.1.1 CUALQUIER INCUMPLIMIENTO DE ESTE ACUERDO;
12.1.2 CUALQUIER USO QUE HAGA EL CLIENTE DE LOS SERVICIOS Y LA DOCUMENTACIÓN O DE CUALQUIER PARTE DE LOS MISMOS; Y
12.1.3 CUALQUIER REPRESENTACIÓN, DECLARACIÓN O ACTO U OMISIÓN ILÍCITOS (INCLUIDA LA NEGLIGENCIA) QUE SURJA EN VIRTUD DE ESTE ACUERDO O EN RELACIÓN CON EL MISMO.
12.2 Salvo que se estipule expresa y específicamente en este contrato:
12.2.1 el Cliente asume la responsabilidad exclusiva de los resultados obtenidos del uso de los Servicios y la Documentación por parte del Cliente, y de las conclusiones extraídas de dicho uso. El Proveedor no tendrá responsabilidad alguna por daños causados por errores u omisiones en cualquier información, instrucciones o guiones proporcionados al Proveedor por el Cliente en relación con los Servicios, o por cualquier acción realizada por el Proveedor bajo la dirección del Cliente;
12.2.2 todas las garantías, representaciones, condiciones y demás términos de cualquier tipo implícitos en la ley o en el derecho consuetudinario quedan excluidos del presente contrato en la máxima medida permitida por la legislación aplicable; y
12.2.3 los Servicios y la Documentación se proporcionan al Cliente "tal cual".
12.3 Nada de lo dispuesto en el presente contrato excluye la responsabilidad del Proveedor:
12.3.1 por muerte o daños personales causados por negligencia del Proveedor; o
12.3.2 por fraude o declaración fraudulenta.
12.4 CON SUJECIÓN A LA CLÁUSULA 13.2 Y A LA CLÁUSULA 13.3:
12.4.1 EL PROVEEDOR NO SERÁ RESPONSABLE, YA SEA POR AGRAVIO (INCLUYENDO NEGLIGENCIA O INCUMPLIMIENTO DE OBLIGACIONES LEGALES), CONTRATO, TERGIVERSACIÓN, RESTITUCIÓN O DE CUALQUIER OTRA FORMA, POR CUALQUIER PÉRDIDA DE UTILIDADES, PÉRDIDA DE NEGOCIOS, AGOTAMIENTO DEL FONDO DE COMERCIO Y/O PÉRDIDAS SIMILARES O PÉRDIDA O CORRUPCIÓN DE DATOS O INFORMACIÓN, O PÉRDIDA PURAMENTE ECONÓMICA, O POR CUALQUIER PÉRDIDA ESPECIAL, INDIRECTA O CONSECUENCIAL, COSTOS, DAÑOS, CARGOS O GASTOS QUE SURJAN BAJO ESTE CONTRATO; Y
12.4.2 LA RESPONSABILIDAD TOTAL AGREGADA DEL PROVEEDOR EN CONTRATO, AGRAVIO (INCLUYENDO NEGLIGENCIA O INCUMPLIMIENTO DE DEBER LEGAL), TERGIVERSACIÓN, RESTITUCIÓN O DE OTRO MODO, QUE SURJA EN RELACIÓN CON LA EJECUCIÓN O EJECUCIÓN PREVISTA DE ESTE ACUERDO SE LIMITARÁ AL 10% DE LAS TARIFAS DE SUSCRIPCIÓN TOTALES (SI LAS HUBIERA) PAGADAS DURANTE LOS 12 MESES INMEDIATAMENTE ANTERIORES A LA FECHA EN QUE SURGIÓ LA RECLAMACIÓN.
13.1 This agreement shall, unless otherwise terminated as provided in this clause 14, commence on the Effective Date.
13.2 Where the Customer has paid the Subscription Fee for the Audiense Paid Version Services, this agreement shall continue for the Initial Subscription Term or the period stated in the Order Form and, thereafter, this agreement shall be automatically renewed for successive periods.
13.2.1 Unless otherwise stated in the Order Form, either party notifies the other party of termination, in writing, at least 1 day before the end of the Initial Subscription Term or any Renewal Period, in which case this agreement shall terminate upon the expiry of the applicable Initial Subscription Term or Renewal Period; or
13.2.2 otherwise terminated in accordance with the provisions of this agreement;
and the Initial Subscription Term together with any subsequent Renewal Periods shall constitute the Subscription Term.
13.3 Where the Customer has signed up for the Audiense Free Version Services, this agreement shall continue for so long as the Audiense Free Version Services are offered by the Supplier.
13.5 Without prejudice to any other rights or remedies to which the parties may be entitled, either party may terminate this agreement without liability to the other if:
13.5.1 the other party commits a material breach of any of the terms of this agreement and (if such a breach is remediable) fails to remedy that breach within 30 days of that party being notified in writing of the breach; or
13.5.2 an order is made or a resolution is passed for the winding up of the other party, or circumstances arise which entitle a court of competent jurisdiction to make a winding-up order in relation to the other party; or
13.5.3 an order is made for the appointment of an administrator to manage the affairs, business and property of the other party, or documents are filed with a court of competent jurisdiction for the appointment of an administrator of the other party, or notice of intention to appoint an administrator is given by the other party or its directors or by a qualifying floating charge holder (as defined in paragraph 14 of Schedule B1 to the Insolvency Act 1986); or
13.5.4 a receiver is appointed of any of the other party’s assets or undertaking, or if circumstances arise which entitle a court of competent jurisdiction or a creditor to appoint a receiver or manager of the other party, or if any other person takes possession of or sells the other party’s assets; or
13.5.5 the other party makes any arrangement or composition with its creditors, or makes an application to a court of competent jurisdiction for the protection of its creditors in any way; or
13.5.6 the other party ceases, or threatens to cease, to trade; or
13.5.7 there is a change of control of the other party within the meaning of section 840 of the Income and Corporation Taxes Act 1988; or
13.5.8 the other party takes or suffers any similar or analogous action in any jurisdiction in consequence of debt.
13.6 On termination of this agreement for any reason:
13.6.1 all licences granted under this agreement shall immediately terminate;
13.6.2 each party shall return and make no further use of any equipment, property, Documentation and other items (and all copies of them) belonging to the other party;
13.6.3 THE SUPPLIER MAY DESTROY OR OTHERWISE DISPOSE OF ANY OF THE CUSTOMER DATA IN ITS POSSESSION UNLESS THE SUPPLIER RECEIVES, NO LATER THAN TEN DAYS AFTER THE EFFECTIVE DATE OF THE TERMINATION OF THIS AGREEMENT, A WRITTEN REQUEST FOR THE DELIVERY TO THE CUSTOMER OF THE THEN MOST RECENT BACK-UP OF THE CUSTOMER DATA TOGETHER WITH PAYMENT OF THE ACCESS FEE SPECIFIED ON THE AUDIENSE WEBSITE. THE SUPPLIER SHALL USE REASONABLE COMMERCIAL ENDEAVOURS TO DELIVER THE BACK-UP TO THE CUSTOMER WITHIN 30 DAYS OF ITS RECEIPT OF SUCH A WRITTEN REQUEST, PROVIDED THAT THE CUSTOMER HAS, AT THAT TIME, PAID ALL FEES AND CHARGES OUTSTANDING AT AND RESULTING FROM TERMINATION (WHETHER OR NOT DUE AT THE DATE OF TERMINATION). THE CUSTOMER SHALL PAY ALL REASONABLE EXPENSES INCURRED BY THE SUPPLIER IN RETURNING OR DISPOSING OF CUSTOMER DATA; and
13.6.4 the accrued rights of the parties as at termination, or the continuation after termination of any provision expressly stated to survive or implicitly surviving termination, shall not be affected or prejudiced.
13.7 During the period of 25 days commencing on the date of termination of this agreement the Supplier will make the Customer Data available to the Customer upon request subject to payment of an access fee. If no such request is received from the Customer within 25 days commencing on the date of termination of this agreement and/or the access fee is not paid, the Supplier shall have no obligation to maintain such Customer Data and it may become permanently irretrievable.
14.1 El Proveedor no tendrá responsabilidad alguna frente al Cliente en virtud de este contrato si se ve impedido o retrasado en el cumplimiento de sus obligaciones en virtud de este contrato, o en el desarrollo de su actividad, por actos, sucesos, omisiones o accidentes fuera de su control razonable, incluyendo, sin limitación, huelgas, cierres patronales u otros conflictos laborales (tanto si afectan a la plantilla del Proveedor como a cualquier otra parte), fallo de un servicio público o red de transporte o telecomunicaciones, caso fortuito, guerra, disturbios, conmoción civil, daños malintencionados, cumplimiento de cualquier ley u orden, norma, reglamento o instrucción gubernamental, accidente, avería de instalaciones o maquinaria, incendio, inundación, tormenta o incumplimiento de proveedores o subcontratistas, siempre que se notifique al Cliente dicho evento y su duración prevista.
15.1 La renuncia a cualquier derecho derivado de este acuerdo sólo será efectiva si se realiza por escrito y se aplica únicamente a la parte a la que se dirige la renuncia y a las circunstancias por las que se realiza.
15.2 A menos que se disponga específicamente lo contrario, los derechos derivados de este acuerdo son acumulativos y no excluyen los derechos previstos por la ley.
16.1 Si cualquier disposición (o parte de una disposición) de este acuerdo es declarada inválida, inaplicable o ilegal por cualquier tribunal u órgano administrativo de jurisdicción competente, las demás disposiciones permanecerán en vigor.
16.2 Si cualquier disposición inválida, inaplicable o ilegal fuera válida, aplicable o legal si se suprimiera alguna parte de la misma, la disposición se aplicará con las modificaciones que sean necesarias para dar efecto a la intención comercial de las partes.
17.1 Este acuerdo, y cualquier documento al que se haga referencia en el mismo, constituyen la totalidad del acuerdo entre las partes y sustituyen cualquier arreglo, entendimiento o acuerdo anterior entre ellas en relación con el objeto que cubren.
17.2 Cada una de las partes reconoce y acepta que al celebrar este acuerdo no se basa en ningún compromiso, promesa, seguridad, declaración, representación, garantía o entendimiento (ya sea por escrito o no) de ninguna persona (ya sea parte de este acuerdo o no) en relación con el objeto de este acuerdo, salvo lo expresamente establecido en este acuerdo.
18.1 El Cliente no podrá, sin el consentimiento previo por escrito del Proveedor, ceder, transferir, cobrar, subcontratar o negociar de cualquier otra forma con todos o cualquiera de sus derechos u obligaciones en virtud de este contrato.
18.2 El Proveedor podrá en cualquier momento ceder, transferir, cobrar, subcontratar o negociar de cualquier otra forma con todos o cualquiera de sus derechos u obligaciones en virtud de este contrato.
19.1 Nada de lo dispuesto en el presente contrato tiene por objeto crear una asociación entre las partes, ni autorizar a ninguna de ellas a actuar como agente de la otra, y ninguna de las partes estará facultada para actuar en nombre o por cuenta de la otra ni para vincularla de cualquier otro modo (incluyendo, a título meramente enunciativo y no limitativo, la realización de cualquier declaración o garantía, la asunción de cualquier obligación o responsabilidad y el ejercicio de cualquier derecho o facultad).
20. DERECHOS DE TERCEROS
20.1 Este acuerdo no confiere ningún derecho a ninguna persona o parte (aparte de las partes de este acuerdo y, en su caso, sus sucesores y cesionarios autorizados) de conformidad con la Ley de Contratos (Derechos de Terceros) de 1999.
21.1 Cualquier notificación requerida en virtud de este acuerdo deberá ser por escrito y deberá ser entregada en mano o enviada por correo prepagado de primera clase o correo certificado a la otra parte a su dirección establecida en este acuerdo, o cualquier otra dirección que pueda haber sido notificada por esa parte para tales propósitos, o enviada por fax al número de fax de la otra parte establecido en este acuerdo.
21.2 Una notificación entregada en mano se considerará recibida cuando sea entregada (o si la entrega no es en horas hábiles, a las 9 am del primer día hábil siguiente a la entrega). Una notificación correctamente dirigida enviada por correo de primera clase prepagado o correo certificado con acuse de recibo se considerará recibida en el momento en que habría sido entregada en el curso normal del correo. Una notificación enviada por fax se considerará recibida en el momento de la transmisión (tal como se desprende de la impresión cronometrada obtenida por el remitente).
22.1 Este acuerdo y cualquier disputa o reclamación que surja de o en conexión con él o su objeto o formación (incluyendo disputas o reclamaciones no contractuales) se rigen e interpretan de acuerdo con la ley de Inglaterra.
22.2 Las partes acuerdan irrevocablemente que los tribunales de Inglaterra tienen jurisdicción exclusiva para resolver cualquier disputa o reclamación que surja de o en conexión con este acuerdo o su objeto o formación (incluyendo disputas o reclamaciones no contractuales).
23.1 DEFINICIONES
"Afiliada" significa cualquier entidad que directa o indirectamente controle, sea controlada por, o esté bajo control común con la entidad sujeta. "Control", a efectos de esta definición, significa propiedad o control directo o indirecto de más del 50% de las participaciones con derecho a voto de la entidad en cuestión.
"Responsable del tratamiento" significa la entidad que determina los fines y medios del Tratamiento de Datos Personales.
"Afiliada del Controlador" significa cualquiera de las Afiliadas del Cliente (a) (i) que estén sujetas a las Leyes de Protección de Datos aplicables de la Unión Europea, el Espacio Económico Europeo y/o sus estados miembros, Suiza y/o el Reino Unido, y (ii) autorizadas a utilizar los Servicios de conformidad con el Acuerdo entre el Cliente y Audiense, pero que no han firmado su propio Formulario de Pedido y no son un "Cliente" según se define en el Acuerdo, (b) si y en la medida en que Audiense procese Datos Personales para los cuales dicha(s) Afiliada(s) califique(n) como el Controlador.
"Leyes de Protección de Datos" significa todas las leyes y reglamentos, incluidas las leyes y reglamentos vinculantes de la Unión Europea, el Espacio Económico Europeo y sus estados miembros, Suiza y el Reino Unido, aplicables al Procesamiento de Datos Personales en virtud del Acuerdo.
"Sujeto de Datos" significa la persona identificada o identificable a la que se refieren los Datos Personales.
"GDPR" significa el Reglamento (UE) 2016/679 del Parlamento Europeo y del Consejo, de 27 de abril de 2016, relativo a la protección de las personas físicas en lo que respecta al tratamiento de datos personales y a la libre circulación de estos datos y por el que se deroga la Directiva 95/46/CE (Reglamento general de protección de datos).
"Datos Personales" significa cualquier información que se refiera a una persona física identificada o identificable, en la medida en que dicha información esté protegida como datos personales en virtud de las Leyes de Protección de Datos aplicables y se presente como Datos del Cliente.
"Tratamiento" significa cualquier operación o conjunto de operaciones que se realicen sobre Datos Personales, ya sea por medios automatizados o no, tales como la recogida, registro, organización, estructuración, almacenamiento, adaptación o alteración, recuperación, consulta, uso, divulgación mediante transmisión, difusión o cualquier otra forma de puesta a disposición, cotejo o interconexión, limitación, supresión o destrucción.
"Encargado del Tratamiento" significa la entidad que trata Datos Personales por cuenta del Responsable del Tratamiento.
"Hoja de Datos de Prácticas de Seguridad" significa la Hoja de Datos de Prácticas de Seguridad de Audiense, actualizada de vez en cuando, y actualmente accesible en https://audiense.com/security-practices.
"Audiense" significa la entidad Audiense Limited que es parte de esta DPA, como se especifica en la sección "CÓMO SE APLICA ESTA DPA" anterior, siendo Audiense Limited, una empresa constituida en el Reino Unido.
"Grupo Audiense" significa Audiense y sus Afiliadas involucradas en el Procesamiento de Datos Personales.
"Subprocesador" significa cualquier entidad contratada por Audiense o un miembro del Grupo Audiense para Procesar Datos Personales en relación con los Servicios.
"Autoridad de Supervisión" significa una autoridad pública independiente que es establecida por un Estado Miembro de la UE de conformidad con el GDPR.
23.2 TRATAMIENTO DE DATOS
23.2.1 Funciones de las Partes. Las partes reconocen y acuerdan que con respecto al Tratamiento de Datos Personales, el Cliente puede ser el Responsable del Tratamiento (cuando los Datos Personales son importados por el Cliente a la Plataforma Audiense) o el Subencargado del Tratamiento (cuando Audiense comparte con él Datos Personales de un Tercero Responsable del Tratamiento), Audiense es el Encargado del Tratamiento (del Cliente o del Tercero dependiendo de quién sea la fuente de los Datos Personales) y que Audiense o los miembros del Grupo Audiense contratarán Subencargados del Tratamiento de conformidad con los requisitos establecidos en la Sección 4 "Subencargados del Tratamiento" a continuación.
23.2.2 Tratamiento de Datos Personales por parte del Cliente. Con respecto a los Datos Personales importados por el Cliente a la Plataforma Audiense, el Cliente deberá, en su uso de los Servicios y provisión de instrucciones, Procesar los Datos Personales de acuerdo con los requisitos de la Ley de Protección de Datos aplicable. El Cliente será el único responsable de la exactitud, calidad y legalidad de los Datos Personales y de los medios por los que el Cliente adquirió los Datos Personales.
23.2.3 Procesamiento de Datos Personales por parte de Audiense.
Como Procesador del Cliente, Audiense solo Procesará Datos Personales para los siguientes fines: (i) Procesamiento de conformidad con el Acuerdo y el (los) Formulario(s) de Pedido aplicable(s); (ii) Procesamiento iniciado por Usuarios Autorizados en su uso de los Servicios; y (iii) Procesamiento para cumplir con otras instrucciones razonables proporcionadas por el Cliente (por ejemplo, a través de correo electrónico o tickets de soporte) que sean consistentes con los términos del Acuerdo (individual y colectivamente, el "Propósito"). Audiense actúa en nombre y bajo las instrucciones del Cliente para llevar a cabo la Finalidad.
Como Procesador de Terceros, Audiense solo Procesará Datos Personales para los siguientes fines: (i) Procesamiento de conformidad con su acuerdo y formulario(s) de pedido aplicable(s); (ii) Procesamiento iniciado por Usuarios Autorizados en su uso de los Servicios; y (iii) Procesamiento para cumplir con otras instrucciones razonables proporcionadas por Terceros (por ejemplo, a través de correo electrónico o tickets de soporte) que sean consistentes con los términos de su acuerdo. Audiense actúa en nombre y bajo las instrucciones de Terceros en el cumplimiento de sus fines.
23.2.4 Detalles del Tratamiento. El objeto del Tratamiento de los Datos Personales por parte de Audiense es la Finalidad. La duración del Tratamiento, la naturaleza y la finalidad del Tratamiento, los tipos de Datos Personales y las categorías de Titulares Tratados en virtud del presente APD se especifican con mayor detalle en el Anexo A (Descripción de las Actividades de Tratamiento) del presente APD.
23.3 DERECHOS DE LOS TITULARES DE LOS DATOS
23.3.1 Data Subject Requests. Each Party shall, to the extent legally permitted, promptly notify The other Party if receives any requests from a Data Subject to exercise the following Data Subject rights: access, rectification, restriction of Processing, erasure (“right to be forgotten”), data portability, objection to the Processing, or to not be subject to an automated individual decision making (each, a “Data Subject Request”). Taking into account the nature of the Processing, Each party shall assist the Other Party by appropriate technical and organizational measures, insofar as this is possible, for the fulfilment of each Party’s obligation to respond to a Data Subject Request under applicable Data Protection Laws.
23.4 SUB-PROCESSORS
23.4.1 Appointment of Sub-processors. Customer acknowledges and agrees that (a) Audiense’s Affiliates may be retained as Sub-processors; (b) Customer may be retained as Sub-processors of Third Parties; and (c) Audiense and Audiense’s Affiliates respectively may engage third party Sub-processors in connection with the provision of the Services. As a condition to permitting a third-party Sub-processor to Process Personal Data, Audiense or an Audiense Affiliate will enter into a written agreement with each Sub-processor containing data protection obligations that provide at least the same level of protection for Personal Data as those in this DPA, to the extent applicable to the nature of the Services provided by such Sub-processor. Customer acknowledges that Audiense hosting servers are located in the United States.
23.4.2 List of Current Sub-processors and Notification of New Sub-processors. A current list of Sub-processors for the Services, including the identities of those Sub-processors regarding Customers data and their country of location, is accessible by emailing privacy@audiense.com. Customer undertakes to provide Audiense with the list of subprocessors in the case that they request it by any means.
23.4.3 Liability. Each Party shall be liable for the acts and omissions of its Sub-processors to the same extent Each Party would be liable if performing the Services of each Sub-processor directly under the terms of this DPA, except as otherwise set in writing.
23.5 SECURITY
23.5.1 Controls for the Protection of Customer Data. Each Party shall maintain appropriate technical and organizational measures for protection of the security (including protection against unauthorized or unlawful Processing and against accidental or unlawful destruction, loss or alteration or damage, unauthorized disclosure of, or access to, the Data), confidentiality and integrity of the Other Party Data, as set forth in the Security Practices Datasheet. Audiense regularly monitors compliance with these measures. The Parties will not materially decrease the overall security of the Services during a subscription term.
23.5.2 Third-Party Certifications and Audits. Audiense has obtained the third-party certifications and audits set forth in the Security Practices Datasheet. Upon Customer’s request, and subject to the confidentiality obligations set forth in the Agreement, Audiense shall make available to Customer (or Customer’s independent, third-party auditor) information regarding the Audiense Group’s compliance with the obligations set forth in this DPA in the form of the third-party certifications and audits set forth in the Security Practices Datasheet. Customer may contact Audiense in accordance with the “Notices” Section of the Agreement to request an on-site audit of Audiense’s procedures relevant to the protection of Personal Data, but only to the extent required under applicable Data Protection Law. Customer shall reimburse Audiense for any time expended for any such on-site audit at the Audiense Group’s then-current rates, which shall be made available to Customer upon request. Before the commencement of any such on-site audit, Customer and Audiense shall mutually agree upon the scope, timing, and duration of the audit, in addition to the reimbursement rate for which Customer shall be responsible. All reimbursement rates shall be reasonable, taking into account the resources expended by Audiense. Customer shall promptly notify Audiense with information regarding any noncompliance discovered during the course of an audit, and Audiense shall use commercially reasonable efforts to address any confirmed non-compliance.
23.6 CUSTOMER DATA INCIDENT MANAGEMENT AND NOTIFICATION
Regarding Customers Data, Audiense maintains security incident management policies and procedures specified in the Security Practices Datasheet. Audiense shall notify Customer of any breach relating to Personal Data (within the meaning of applicable Data Protection Law) of which Audiense becomes aware and which may require a notification to be made to a Supervisory Authority or Data Subject under applicable Data Protection Law or which Audiense is required to notify to Customer under applicable Data Protection Law (a “Customer Data Incident”). Audiense shall provide commercially reasonable cooperation and assistance in identifying the cause of such Customer Data Incident and take commercially reasonable steps to remediate the cause to the extent the remediation is within Audiense’s control. The obligations herein shall not apply to incidents that are caused by Customer, Authorized Users and/or any NonAudiense Products.
Customer agree to do the same regarding Third Parties Data processed by Audiense and subprocessed by Customer.
23.7 RETURN AND DELETION OF CUSTOMER DATA
Upon termination of the Services for any Party is Processing Personal Data, Each Party shall, upon the Other Party’s request, and subject to the limitations described in the Agreement and the Security Practices Datasheet, return all Data and copies of such data to the Other Party or securely destroy them and demonstrate to the satisfaction of the Other Party that it has taken such measures, unless applicable law prevents it from returning or destroying all or part of Data. For clarification, depending on the Service plan purchased by Customer, access to export functionality may incur additional charge(s) and/or require purchase of a Service upgrade. Audiense agrees to preserve the confidentiality of any retained Customer Data and will only actively Process such Customer Data after such date in order to comply with the laws it is subject to.
23.8 CONTROLLER AFFILIATES
23.8.1 Contractual Relationship. The parties acknowledge and agree thatCustomer enters into the DPA on behalf of itself and, as applicable, in the name and on behalf of its Controller Affiliates, thereby establishing a separate DPA between Audiense and each such Controller Affiliate subject to the provisions of the Agreement and this Section 8 and Section 9. Each Controller Affiliate agrees to be bound by the obligations under this DPA and, to the extent applicable, the Agreement. For the avoidance of doubt, a Controller Affiliate is not and does not become a party to the Agreement, and is only a party to the DPA. All access to and use of the Services by Controller Affiliates must comply with the terms and conditions of the Agreement and any violation of the terms and conditions of the Agreement by a Controller Affiliate shall be deemed a violation by Customer.
23.8.2 Communication. The Customer that is the contracting party to the Agreement shall remain responsible for coordinating all communication with Audiense under this DPA and be entitled to make and receive any communication in relation to this DPA on behalf of its Controller Affiliates.
23.8.3 Rights of Controller Affiliates. If a Controller Affiliate becomes a party to the DPA with Audiense, it shall, to the extent required under applicable Data Protection Laws, also be entitled to exercise the rights and seek remedies under this DPA, subject to the following:
Except where applicable Data Protection Laws require the Controller Affiliate to exercise a right or seek any remedy under this DPA against Audiense directly by itself, the parties agree that (i) solely the Customer that is the contracting party to the Agreement shall exercise any such right or seek any such remedy on behalf of the Controller Affiliate, and (ii) the Customer that is the contracting party to the Agreement shall exercise any such rights under this DPA not separately for each Controller Affiliate individually but in a combined manner for all of its Controller Affiliates together (as set forth, for example, in Section 8.3.2, below).
The parties agree that the Customer that is the contracting party to the Agreement shall, if carrying out an on-site audit of the Audiense procedures relevant to the protection of Personal Data, take all reasonable measures to limit any impact on Audiense by combining, to the extent reasonable possible, several audit requests carried out on behalf of different Controller Affiliates in one single audit.
23.9 LIMITATION OF LIABILITY
Each party’s and all of its Affiliates’ liability, taken together in the aggregate, arising out of or related to this DPA, and all DPAs between Controller Affiliates and Audiense, whether in contract, tort or under any other theory of liability, is subject to the ‘Limitation of Liability’ section of the Agreement, and any reference in such section to the liability of a party means the aggregate liability of that party and all of its Affiliates under the Agreement and all DPAs together. For the avoidance of doubt, Audiense’s and its Affiliates’ total liability for all claims from the Customer and all of its Controller Affiliates arising out of or related to the Agreement and each DPA shall apply in the aggregate for all claims under both the Agreement and all DPAs established under the Agreement, including by Customer and all Controller Affiliates, and, in particular, shall not be understood to apply individually and severally to Customer and/or to any Controller Affiliate that is a contractual party to any such DPA.
23.10 EUROPEAN SPECIFIC PROVISIONS
23.10.1 GDPR. With effect from 25 May 2018, Audiense will Process Personal Data in accordance with the GDPR requirements directly applicable to Audiense’s provisioning of the Services.
Data Protection Impact Assessment. Upon Customer’s request, Audiense shall provide Customer with reasonable cooperation and assistance needed to fulfil Customer’s obligation under the GDPR to carry out a data protection impact assessment related to Customer’s use of the Services, to the extent Customer does not otherwise have access to the relevant information, and to the extent such information is available to Audiense. Audiense shall provide reasonable assistance to Customer in the cooperation or prior consultation with the Supervisory Authority, to the extent required under the GDPR.
23.10.2 Transfer Mechanisms. As of the effective date of this DPA, Audiense self-certifies to and complies with the EU-U.S. and Swiss-U.S. Privacy Shield Frameworks, as administered by the US Department of Commerce. For transfers of Personal Data under this DPA from the European Union, the European Economic Area and/or their member states and Switzerland to countries which do not ensure an adequate level of data protection within the meaning of applicable Data Protection Laws of the foregoing territories, to the extent such transfers are subject to such applicable Data Protection Laws.
